Terms of Use

The terms of use for using QME AI

Thank you for using Qme! Please read these Qme Terms of Service (“Terms”) carefully before accessing or using the Service.

Qme is operated by AIchatbots SRL, a limited liability company organized under the laws of Romania (“Qme,” “we,” “us,” or “our”). You can contact us at https://www.qme.ai/contact.

By connecting an AI Client to Qme, creating an Account, or otherwise accessing or using the Service, you agree that these Terms, together with the documents incorporated into them, including the Qme Privacy Policy and the Data Processing Terms in Annex A (together, the “Agreement”), govern your access to and use of the Service. If you do not agree to the Agreement, do not use the Service.

The Service is intended for professional and business use only and is not designed, marketed, or suitable for minors. You must be at least 18 years old to use the Service. If you accept these Terms on behalf of a company or other entity, you declare that you are authorized to do so, and “you” or “Customer” then refers to that entity.

1. Definitions

2. The Service

2.1. Description. Qme provides a workspace in which you can organize research material in projects and canvases, and an MCP connector that lets an AI Client read, search, create, and analyze material in that workspace. Depending on the tools made available to you, the Service lets you or your AI Client:

(i) list, inspect, search, and read your projects, canvases, and nodes;

(ii) at your request, retrieve publicly available content from Sources and save it to a canvas (for example, individual posts, videos of a public profile or channel, or top posts of a public subreddit), including available metadata, captions, and transcripts;

(iii) create projects, canvases, and text nodes;

(iv) analyze videos with, or send prompts and selected node content to, Third-Party AI Providers (for example, Google Gemini, a multi-model “council,” or open-source models); and

(v) start, check, list, and cancel background tasks for long-running operations.

2.2. Our role. The Service is a tool that acts on the instructions given through your Account, whether by you or by an AI Client, and we treat each such instruction as authorized by you. We do not publish, curate, or control Source Content, and we are not a party to any relationship between you and a Source or its users.

2.3. Limits and quotas. The Service may apply limits to protect its stability and the Sources, such as maximum numbers of URLs, posts, or videos per request, rate limits, file-size limits, and usage quotas. Limits may change at any time.

2.4. Availability. The Service may be unavailable or limited from time to time. Retrieval depends on Sources that we do not control. Unless otherwise agreed in writing, availability of the Service or of any particular Source is not guaranteed.

2.5. Changes. We may change, update, add, suspend, or discontinue features, tools, or supported Sources at any time. We will notify you in advance of changes that materially reduce the core functionality of the Service, where reasonably practicable. Supporting a Source is not a commitment to continue supporting it.

3. Accounts, AI Clients, and Authorization

3.1. Account responsibility. You are responsible for all activity under your Account, including all instructions and Fetch Requests issued under it. You must keep your login credentials and access tokens secure and must not allow third parties to use your Account. You must notify us promptly at https://www.qme.ai/contact of any unauthorized use or suspected security breach. We are not liable for any loss resulting from your failure to comply with this Section.

3.2. Accurate information. You must provide accurate and current Account information and keep it up to date. Accounts must be created by humans, and you may not create multiple Accounts to circumvent limits or restrictions.

3.3. AI Clients act on your behalf. When you connect an AI Client to the Service, you authorize that AI Client to access your workspace and to issue instructions on your behalf. Any instruction, tool call, or Fetch Request issued through your Account is attributed to you, whether or not you reviewed or approved it, including where the AI Client acted autonomously, misunderstood your request, or was manipulated by content it read. You are solely responsible for choosing, configuring, supervising, and limiting the permissions of your AI Clients, and for revoking their access when no longer needed.

3.4. Third-party AI Clients. AI Clients are Third-Party Services. We do not control how an AI Client interprets your requests, what it does with data it receives from the Service, or how its provider uses that data. Once data is returned by the Service to an AI Client, it is governed by the terms and privacy practices of that AI Client’s provider, not by these Terms.

3.5. Access by our personnel. You acknowledge that our personnel may access your Account and Customer Content solely to operate the Service, resolve technical or support issues, ensure security, prevent abuse, or comply with law.

4. Retrieval of Content from Sources

4.1. User-initiated retrieval. The Service retrieves Source Content only upon a Fetch Request and only from the URLs, profiles, channels, or communities identified in that request, in the quantities set in the request within the limits of the Service. You choose what Source Content to retrieve through the Service; we do not select, review, or control it.

4.2. Authorized use. You must use the Service to retrieve and process only content that you are authorized to access and process, and only in compliance with applicable law and the rights of third parties, including intellectual property, privacy, and data protection rights. You must not use the Service to retrieve content that is not publicly available, such as private, login-restricted, or paywalled content.

4.3. Responsibility for Source Content. You are solely responsible for the legality of your Fetch Requests and for your storage, analysis, and use of Source Content, including obtaining any permissions it requires. Source Content remains the property of its respective owners, and we grant you no rights in it.

4.4. Personal Data in Source Content. Source Content may contain Personal Data of third parties (such as creators, commenters, or individuals shown or mentioned in content). You determine the purposes and means of processing such Personal Data and are responsible for having a valid legal basis for it under Data Protection Law. You must not use the Service to systematically monitor, profile, or track individuals (as distinct from researching public content, creators, and trends for business, marketing, or research purposes), or to deliberately process special categories of Personal Data, data relating to criminal convictions or offenses, or Personal Data of children. Section 9 and Annex A apply to Personal Data we process on your behalf.

4.5. No verification. We are not obliged to verify, and do not verify, the Sources you choose or the manner in which you use Source Content, Output, or the Service. Nothing in the Service or our documentation constitutes legal advice.

4.6. Sources and content quality. Sources may change, restrict, or discontinue access to their content at any time, and we are not responsible for any resulting interruption or loss. Source Content, including captions and transcripts, may be inaccurate, incomplete, or unlawful, and may contain text designed to manipulate AI systems (prompt injection). You are responsible for reviewing it and for how your AI Clients handle it.

4.7. Our right to refuse and restrict. We may at any time refuse, limit, or cancel any Fetch Request, block specific Sources or URLs, or remove Source Content from the Service, in particular where we believe a request or content may be unlawful or may harm the rights of others, the Service, or its users. We are not liable for exercising these rights.

4.8. Our retrieval practices. The Service retrieves only publicly available content, only on a Fetch Request, and does not log in to Third-Party Platforms on your behalf, bypass authentication, paywalls, or access controls, or exceed the rate limits we apply to protect Sources. If we learn that a Source objects to the retrieval of particular content, or that retrieval would breach a Source’s rules, we may block it under Section 4.7.

5. Acceptable Use

5.1. Qme takes firm action against illegal or non-compliant use of the Service and will cooperate with law enforcement and competent authorities in investigating illegal activities. You agree to use the Service only for legal and legitimate purposes.

5.2. You must not use the Service, and must not allow any AI Client or third party to use it under your Account, for any of the following (together, the “Prohibited Activities”):

(i) accessing or attempting to access content that is not publicly available, or circumventing authentication, usage limits, or other security measures of the Service;

(ii) activities that contravene applicable laws or regulations or the rights of any third party;

(iii) denial-of-service attacks or any other action that places an undue burden on any server or infrastructure;

(iv) unsolicited mass messaging (spam) or the use of retrieved contact or personal information to send unsolicited communications in violation of law;

(v) stalking, harassment, doxxing, discrimination, surveillance, or systematic covert tracking or profiling of individuals;

(vi) fraudulent or deceptive behavior, such as phishing, malware, impersonation, spoofing, ad fraud, click fraud, creation of fake accounts, disinformation, or scam content;

(vii) artificial or inauthentic engagement (such as fake votes, shares, followers, or reviews) or manipulation of search engines or ranking systems;

(viii) retrieving, storing, or distributing unlawful content, including child sexual abuse material, terrorist content, or content that incites violence or hatred;

(ix) reselling, sublicensing, or providing access to the Service or Output to third parties as a competing or standalone service, or building a competing service or dataset product using the Service, without our prior written approval;

(x) using Source Content or Output to train, fine-tune, or build datasets for machine-learning models in breach of applicable law or the rights of the content owners;

(xi) reverse-engineering, decompiling, or attempting to extract the source code of the Service, or interfering with its security or operation;

(xii) falsely representing Output as having been created by a human where doing so is deceptive or unlawful, or using the Service for decisions with legal or similarly significant effects on individuals without appropriate human oversight;

(xiii) using the Service in violation of any sanctions or embargoes imposed by Romania, the European Union, the United States of America, or the United Nations;

(xiv) any activity that materially harms the Service, its users, or our relationships with Third-Party Platforms, or that otherwise breaches the Agreement;

(xv) submitting to the Service passwords, API keys or other credentials, one-time codes, payment card data, government identifiers (such as social security or national ID numbers), or protected health information.

5.3. Our rights. If we identify or reasonably suspect any Prohibited Activity, we may, without notice, block, restrict, suspend, or delete the relevant Account, instruction, task, content, or access, and may take any other measure we consider appropriate to prevent direct or indirect harm to Qme, its users, or third parties. We are not liable to you or any third party for exercising our rights under this Section.

5.4. Reporting. Please report misuse or suspicious activity to https://www.qme.ai/contact.

6. Customer Content, Output, and Intellectual Property

6.1. Qme IP. The Service, including its software, tools, design, documentation, and trademarks, is owned by us or our licensors and protected by intellectual property laws. We reserve all rights not expressly granted. Subject to the Agreement, we grant you a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for the term of the Agreement for your internal purposes, in accordance with the Agreement and our documentation. You may not modify, copy, distribute, sublicense, create derivative works of, or reverse-engineer the Service, except to the extent permitted by mandatory law.

6.2. Your Customer Content. To the extent permitted by applicable law, and subject to the rights of third parties in Source Content, you retain all rights in your Customer Content. You grant us a limited, non-exclusive, revocable, worldwide, royalty-free license to host, store, reproduce, transmit, display, and otherwise process Customer Content, and to transmit it to Third-Party Services at your instruction, solely as necessary to provide, secure, and support the Service and to comply with law during the term of the Agreement. We do not use Customer Content to improve the Service, except through Usage Data that does not contain Customer Content. Apart from that license, we acquire no right, title, or interest in Customer Content. You choose what Customer Content to submit to or retrieve through the Service, and we do not control it.

6.3. Responsibility for Customer Content. You are solely responsible for the legality, accuracy, quality, appropriateness, and use of all Customer Content, including Source Content you retrieve and the prompts you submit, and for ensuring you are authorized to submit it to the Service and to Third-Party Services.

6.4. Output. As between the parties, and subject to third-party rights, Output is part of your Customer Content. Output may not be protectable by intellectual property rights, may resemble Output generated for others, and may reproduce or reflect third-party material. We make no representation that Output does not and will not infringe the rights of any person.

6.5. Usage Data. All rights in Usage Data, including aggregated and de-identified data derived from the Service, belong to us. We may use Usage Data to operate, secure, support, and improve the Service and for other lawful purposes consistent with the Privacy Policy, provided that we will not identify you or disclose your Customer Content in doing so.

6.6. Feedback. If you provide suggestions or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable, non-exclusive license to use it without restriction or compensation. Feedback is provided “AS IS.”

6.7. Open-source components. The Service may contain open-source components licensed under their own license terms.

7. AI Features and Third-Party AI Providers

7.1. Third-party processing. Certain features (for example, video analysis with Google Gemini, multi-model comparison through the “LLM council,” and the “save tokens” function that runs open-source models over node content) send your prompts and the content of selected nodes or videos to Third-Party AI Providers (listed in Section A.6 of Annex A), which may operate in countries outside the European Economic Area. These features run only when you or your AI Client invoke them. By invoking them, you instruct us to transmit the relevant Customer Content to those providers, and you confirm that you are authorized to do so.

7.2. Provider terms. Third-Party AI Providers are Third-Party Services governed by their own terms and privacy practices, which may differ from ours. We select our providers and, where available, use settings and contractual terms intended to prevent your Customer Content from being used to train their models, but we cannot guarantee how any Third-Party AI Provider handles data and are not responsible for their acts or omissions.

7.3. No training on your content by Qme. We do not use your Customer Content to train, fine-tune, or evaluate any AI or machine-learning model of our own. We generate embeddings of Customer Content solely to provide search within your Account.

7.4. Outputs are not reliable. AI-generated Output is provided “AS IS,” may be inaccurate, incomplete, biased, or misleading, and different models may give different or contradictory answers. You must independently verify Output before relying on it, and you remain responsible for reviewing it and for any decision or action based on it. Output does not constitute legal, financial, medical, or other professional advice.

7.5. Restrictions. You will not (and will not allow anyone else to): (a) use AI features for decision-making in a regulated industry or capacity, or for decisions producing legal or similarly significant effects on individuals, without proper human oversight and review in compliance with applicable laws and professional rules; (b) use AI features to infringe or misappropriate the intellectual property or other rights of others; or (c) use AI features in breach of the terms of the relevant Third-Party AI Provider, which you are responsible for reviewing where they apply to you.

8. Third-Party Services

8.1. The Service allows you to interact with Third-Party Services, including AI Clients, Third-Party Platforms, and Third-Party AI Providers. Your use of any Third-Party Service is subject solely to the terms and conditions of the applicable third party, and we do not control and are not responsible for any Third-Party Service.

8.2. You acknowledge and agree that we shall not be liable for any damages or losses caused or alleged to be caused by or in connection with the use of, or reliance on, any Third-Party Service, or its availability, accuracy, security, or performance. You are solely responsible for obtaining and maintaining any accounts, licenses, or permissions required to use Third-Party Services.

8.3. Integration with Third-Party Services is provided “as is,” and we make no warranty, express or implied, regarding the functionality, availability, or interoperability of any Third-Party Service with the Service. Mentions of Third-Party Services or of their names do not imply endorsement, affiliation, or partnership. All third-party trademarks belong to their respective owners. Qme is not affiliated with, endorsed by, or sponsored by Anthropic, OpenAI, or any other provider of an AI Client.

9. Data Protection

9.1. Your use of the Service is subject to the Qme Privacy Policy, which is incorporated by reference. To the extent we process Personal Data contained in Customer Content on your behalf, the Data Processing Terms in Annex A apply and form part of the Agreement.

9.2. Roles. For Personal Data contained in Customer Content (including Source Content), you act as controller (or processor on behalf of your own customers, as applicable) and Qme acts as your processor (or subprocessor). For Personal Data relating to your Account, billing, security, and communications with us, Qme acts as an independent controller, as described in the Privacy Policy.

9.3. You are responsible for your own compliance with Data Protection Law and for your own privacy and security practices. We are not responsible for determining which laws apply to your business or whether the Service meets the requirements of such laws.

9.4. We maintain commercially appropriate administrative, technical, and organizational safeguards to protect Personal Data as described in Annex A. No system is completely secure, and we do not guarantee absolute security.

10. Fees

10.1. Free and paid use. We may offer the Service free of charge, subject to limits, and may offer paid plans or usage-based features. Applicable prices, billing periods, and quotas will be shown at the time of purchase or in your Account, and we may update them from time to time with effect from your next billing period. Prices and features are the same whether you use the Service directly or through an AI Client.

10.2. Payment. Where fees apply, you agree to pay them, together with applicable taxes, in the currency stated, and authorize us (and our payment service providers) to charge your selected payment method. Fees are non-cancellable and non-refundable, except as required by mandatory law or as expressly stated in the Agreement. You are responsible for all taxes and duties relating to your use of the Service, except taxes on our net income.

10.3. Charge disputes. To dispute a charge, you must notify us in writing at https://www.qme.ai/contact within fifteen (15) days of the charge date. Failure to do so waives your right to dispute the charge, to the extent permitted by mandatory law.

10.4. Non-payment. We may suspend the Service if payments fail or are overdue.

11. Warranty Disclaimer

11.1. GENERAL DISCLAIMER. THE SERVICE, ALL TOOLS, OUTPUT, AND ALL SOURCE CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED STRICTLY “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY SET OUT IN THE AGREEMENT, WE MAKE NO REPRESENTATION OR WARRANTY AS TO THEIR RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY, OR COMPLETENESS. SPECIFICALLY, WE DO NOT WARRANT THAT: (i) THE SERVICE WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ANY AI CLIENT, SOFTWARE, SYSTEM, OR THIRD-PARTY SERVICE; (ii) THE SERVICE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS; (iii) ANY SOURCE CONTENT, TRANSCRIPT, OR OUTPUT WILL BE ACCURATE, COMPLETE, LAWFUL, OR RELIABLE, OR THAT ANY SOURCE WILL REMAIN ACCESSIBLE; (iv) ERRORS OR DEFECTS WILL BE CORRECTED; OR (v) THE SERVICE OR OUR SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2. Interference and third-party changes. We are not liable for defects, errors, or failures resulting from unauthorized interference with the Service, from changes to or restrictions imposed by Third-Party Services (including Sources and AI Clients), or from your use of the Service in breach of the Agreement.

11.3. Force Majeure and maintenance. The Service may experience downtime due to maintenance, updates, or any cause beyond the reasonable control of either party, including acts of terrorism, natural disasters, labor conditions, power or network failures, third-party outages, fire, flood, sabotage, embargo, strike, explosion, accident, riot, acts of any governmental authority, or other acts of God (“Force Majeure”).

11.4. No reliance on future functionality. You agree that your use of the Service is not contingent on the delivery of any future feature or functionality, nor based on any statement we make about future developments.

12. Beta Features

12.1. We may make features designated as alpha, beta, preview, early access, or experimental available to you. Such features may be incomplete, contain errors, cause loss of data, never be released commercially, and may be modified or discontinued at any time without liability to you.

13. Indemnification

13.1. You agree to indemnify, defend, and hold harmless Qme, AIchatbots SRL, and our affiliates, directors, officers, employees, agents, licensors, contractors, and partners (the “Indemnified Persons”) from and against any third-party claim, demand, proceeding, liability, loss, damage, fine, and expense (including settlement amounts and reasonable legal fees) brought against or incurred by any Indemnified Person arising out of or in connection with: (i) your use of the Service in breach of the Agreement; (ii) any Fetch Request issued under your Account, and your retrieval, storage, analysis, publication, or other use of Source Content or Output; (iii) your Customer Content, including any claim that it or its use infringes or violates the rights of a third party or any law; (iv) any dispute between you and a Source, an AI Client provider, a Third-Party AI Provider, or an individual whose Personal Data you process; or (v) your breach of Data Protection Law or of the terms of any Third-Party Service.

13.2. Each Indemnified Person may assert and enforce its rights under this Section directly on its own behalf as a third-party beneficiary. Should you use the Service to retrieve content from unauthorized sources, you shall be responsible for compensating any damages incurred by, and any claims of, the affected third parties and Qme.

13.3. We may, at our own expense, participate in the defense of any claim. You may not settle any claim in a manner that imposes obligations on or admits liability for an Indemnified Person without our prior written consent.

14. Liability; Limitations

14.1. LIABILITY EXCLUSION. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QME BE LIABLE UNDER OR IN CONNECTION WITH THE AGREEMENT FOR ANY LOSS OF PROFIT, REVENUE, GOODWILL, OR DATA, OR FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

14.2. LIABILITY CAP. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THE AGREEMENT FOR ANY AND ALL CLAIMS IS LIMITED TO THE GREATER OF (i) THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, AND (ii) ONE HUNDRED EUROS (EUR 100), WHICH THE PARTIES AGREE IS A FAIR AND REASONABLE AMOUNT.

14.3. NO LIABILITY FOR USER ACTIONS AND THIRD PARTIES. WE ARE NOT LIABLE FOR (i) THE CONTENT OF ANY SOURCE OR THE ACTS OR OMISSIONS OF ANY SOURCE, AI CLIENT, OR THIRD-PARTY AI PROVIDER; (ii) YOUR OR YOUR AI CLIENT’S INSTRUCTIONS, FETCH REQUESTS, OR USE OF SOURCE CONTENT OR OUTPUT; OR (iii) ANY CLAIM, FINE, OR SANCTION IMPOSED ON YOU BY A THIRD PARTY, A SOURCE, OR AN AUTHORITY IN CONNECTION WITH YOUR USE OF THE SERVICE.

14.4. Each party acknowledges that the other party has agreed to the Agreement in reliance on these limitations, which are an essential basis of the bargain between the parties.

14.5. Mandatory law. Nothing in the Agreement excludes or limits any liability that cannot be excluded or limited under applicable mandatory law, including liability for intent or gross negligence or for death or personal injury, nor affects any non-waivable rights you may have as a consumer under mandatory law.

15. Reporting Illegal Content; Notice and Action

15.1. Acknowledgment. In accordance with Romanian Law No. 365/2002 on electronic commerce and Regulation (EU) 2022/2065 of the European Parliament and of the Council (Digital Services Act), we are not liable for the content of information that you or other users store, retrieve, or process through the Service, including Customer Content and Source Content. We are not obliged to monitor or verify the manner in which you or other users use the Service, and we are not liable for the manner of such use.

15.2. Notices. If you believe that any content stored on or processed through the Service is illegal or infringes your rights (including intellectual property or data protection rights), you may notify us at https://www.qme.ai/contact, providing: (i) a description of the content and its location (for example, URL or node reference); (ii) the reasons for your claim, including the applicable law or right; (iii) your name and contact details; and (iv) a statement that you believe in good faith that the information in your notice is accurate and complete.

15.3. Our response. We may, at our discretion and where appropriate, remove or disable access to the content, restrict the relevant Account, forward the notice to the relevant user, and take any other action we consider appropriate or that the law requires. We may disclose information to competent authorities where required by law.

15.4. Content owners and individuals. If you are a rights holder, platform, or individual whose content or Personal Data has been retrieved through the Service and you object to its presence on the Service, you can contact us at https://www.qme.ai/contact. We will assess your request in accordance with applicable law and may forward it to the relevant user, who is responsible for responding to it.

16. Term, Suspension, and Termination

16.1. Term. The Agreement is concluded when you first access or use the Service, create an Account, or connect an AI Client (whichever occurs first) and remains in effect until terminated under this Section.

16.2. Right to refuse. We may refuse access to the Service to anyone at any time, for example, if we identify a past breach of the Agreement or are required by law to do so.

16.3. Suspension. In addition to our other rights, we may suspend or restrict your access to the Service, immediately and without prior notice, where: (i) we reasonably suspect a breach of Sections 3, 4, 5, or 6 or of any other provision of the Agreement; (ii) payment fails or is overdue; (iii) we receive a complaint, claim, or order from a Source, rights holder, authority, or court concerning your use of the Service; (iv) we reasonably determine suspension is necessary to prevent harm to Qme, you, or third parties, including in the event of attacks or disruptions; or (v) required by law or at the request of a governmental authority.

16.4. Termination by you. You may stop using the Service and delete your Account at any time through the Service or by contacting https://www.qme.ai/contact. Termination does not relieve you of payment obligations for the period before termination.

16.5. Termination by us. We may terminate the Agreement and delete your Account with immediate effect if you breach the Agreement, or on reasonable notice for convenience (in which case we will refund any prepaid fees for the unused period, if any).

16.6. Effect of termination. Upon termination, your right to use the Service ends immediately. You are responsible for exporting your Customer Content before termination. We may, unless legally prohibited, delete your Customer Content in accordance with our retention practices and have no obligation to keep or provide copies. We are not liable for any loss of data resulting from termination or deletion.

16.7. Survival. All provisions that by their nature should survive termination shall survive, including Sections 4, 6, 8, 9, 10 (as to accrued fees), 11, 13, 14, 15, this Section 16.7, Section 17, and Annex A (until deletion under Section A.8 is complete).

17. General Provisions

17.1. No agency. Qme and you are independent contractors. Nothing in the Agreement creates a partnership, joint venture, employment, or agency relationship. The Agreement shall not be strictly construed against either party.

17.2. Severability. If any provision of the Agreement is or becomes invalid or unenforceable, the remaining provisions remain in force, and the parties shall replace the invalid provision with a valid one that closely reflects its original purpose.

17.3. Changes to the Terms. We may update these Terms from time to time. The most current version, dated accordingly, will be published on our website at qme.ai. Changes become effective upon posting unless a later effective date is stated. For material changes, we will notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

17.4. Notices. You consent to receive electronic communications regarding the Service through the Service or at the email address associated with your Account, and agree that such communications satisfy any legal requirement for written form. Legal notices to Qme must be sent to https://www.qme.ai/contact. Notices sent by email to you are deemed received upon dispatch.

17.5. Force Majeure. Except for payment obligations, neither party is liable for any failure or delay resulting from Force Majeure, provided that it promptly notifies the other party and acts diligently to remedy the interruption.

17.6. Assignment. You may not assign or transfer your rights or obligations under the Agreement without our prior written consent. We may assign or transfer ours, including in connection with a merger, reorganization, or sale of assets.

17.7. Publicity. Unless you object in writing, we may refer to you as a user of the Service, using your name or company name (but not your Customer Content), in a neutral manner.

17.8. Governing law. The Agreement is governed by the laws of Romania, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

17.9. Dispute resolution. The parties shall use their best efforts to resolve any dispute arising under the Agreement amicably and in good faith. Either party may initiate this process by written notice to the other. If the dispute remains unresolved thirty (30) days after the notice, it may be submitted as set out below.

17.10. Jurisdiction. Any dispute arising from or in connection with the Agreement that is not resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Romania at the registered seat of AIchatbots SRL, without prejudice to any mandatory jurisdiction rules protecting consumers or data subjects under applicable law.

17.11. Order of precedence. In case of conflict, the following order applies: (1) Annex A (Data Processing Terms) as regards the processing of Personal Data, (2) any separate written agreement signed by Qme, (3) these Terms, (4) the Privacy Policy (except as regards Qme’s processing as controller).

17.12. Language. The Agreement and all communications under it are in English. Any translation is for convenience only.

17.13. Entire agreement. The Agreement is the entire agreement between you and Qme regarding its subject matter and supersedes all prior communications about it. Each party confirms that it has not relied on any statement not expressly set out in the Agreement. Any terms you issue (such as purchase order terms) do not modify the Agreement.

17.14. Contact. Questions about these Terms, support requests, and security reports can be sent through https://www.qme.ai/contact.

Annex A: Data Processing Terms

These Data Processing Terms (“DP Terms”) form part of the Agreement and apply automatically; no separate signature is required. They govern the processing by Qme of Personal Data contained in Customer Content on your behalf and are intended to satisfy Article 28 GDPR. Capitalized terms not defined here have the meanings given in the Terms or in Data Protection Law (for example, “controller,” “processor,” “processing,” “data subject,” and “Personal Data Breach”).

‍

A.1 Roles and scope

A.1.1. You act as controller (or as processor on behalf of your own controller, as applicable) of the Personal Data in your Customer Content, and Qme acts as your processor (or subprocessor) and processes it solely to provide the Service to you in accordance with the Agreement and your documented instructions (the “Permitted Purpose”).

A.1.2. Your instructions are given by the Agreement, by your configuration and use of the Service, and by Fetch Requests, tool calls, and other instructions issued through your Account, including by AI Clients acting on your behalf. You are responsible for ensuring that your instructions comply with Data Protection Law and that processing in accordance with them will not cause Qme to violate any law. Qme is not responsible for determining what laws apply to your business. If Qme believes an instruction infringes Data Protection Law, it will inform you and may suspend the relevant processing until the instruction is confirmed or modified.

A.1.3. Qme processes some Personal Data as an independent controller, outside the scope of these DP Terms, for the purposes stated in the Privacy Policy (for example, Account administration, billing, customer support, security and abuse prevention, legal compliance, and aggregated statistics).

‍

A.2 Details of processing

(a) Subject matter and nature: hosting, storage, retrieval, search, transmission, and analysis of Customer Content (including content retrieved from Sources at your instruction) to provide the Service.

(b) Duration: for the term of the Agreement and until deletion under Section A.8.

(c) Categories of data subjects: individuals whose Personal Data you cause to be processed, which may include creators, account holders, commenters, and other individuals appearing in or identified by Source Content, and your own personnel and contacts.

(d) Types of Personal Data: determined by you through your use of the Service; may include names, usernames, profile identifiers, public posts, captions, comments, transcripts and other text, images, voice and video recordings, links, and other publicly available information.

(e) Special categories and minors: you agree not to deliberately instruct the Service to process special categories of Personal Data, data relating to criminal convictions and offenses, data subject to special regimes (such as health data under HIPAA, payment card data under PCI-DSS, government identifiers, access credentials and authentication secrets, or education records), or Personal Data of children, unless otherwise agreed in writing. You are responsible for any such data you cause to be processed.

‍

A.3 Your obligations and warranties

You represent and warrant that you have, and will maintain, a valid legal basis and all necessary consents, notices, and authorizations required by Data Protection Law for the processing of Personal Data in your Customer Content, including for retrieving it from Sources, and for our processing of it as instructed. You are responsible for responding to data subjects, regulators, and Sources regarding your use of Personal Data, and for complying with all your own obligations as controller.

A.4 Qme’s obligations

Qme will: (i) process Personal Data only on your documented instructions and for the Permitted Purpose, unless required otherwise by applicable law (in which case it will inform you before processing, unless the law prohibits this); (ii) ensure that persons authorized to process Personal Data are bound by confidentiality obligations; (iii) implement the Security Measures described in Section A.5; (iv) comply with the conditions for subprocessors in Section A.6; (v) assist you, taking into account the nature of the processing, with data subject requests, security, breach notification, data protection impact assessments, and prior consultation, as set out below; and (vi) make available information reasonably necessary to demonstrate compliance with this Annex, as set out in Section A.9.

‍

A.5 Security measures

A.5.1. Qme implements technical and organizational measures appropriate to the risk, taking into account the state of the art, the costs of implementation, and the nature, scope, context, and purposes of processing. These measures may include, as appropriate: encryption of data in transit and, where appropriate, at rest; access controls and authentication limiting access to Personal Data to personnel and providers who need it; measures to ensure ongoing confidentiality, integrity, availability, and resilience of systems; the ability to restore availability and access to data after an incident; and regular testing and evaluation of the effectiveness of the measures (the “Security Measures”).

A.5.2. Personal Data Breach. Qme will notify you without undue delay after becoming aware of a Personal Data Breach affecting Personal Data processed on your behalf, and will provide the information reasonably available to it to help you meet your own notification obligations, including the nature of the breach, its likely consequences, and the measures taken or proposed. Notification or response to a breach is not an acknowledgment of fault or liability. Unsuccessful attempts and routine immaterial incidents (such as port scans or denial-of-service attempts that do not compromise Personal Data) are not Personal Data Breaches for this purpose. You are solely responsible for complying with incident notification laws applicable to you and must promptly notify us of any misuse of your Account or credentials.

A.6 Subprocessors

A.6.1. You give Qme general authorization to engage subprocessors to process Personal Data for the Permitted Purpose. Subprocessors include providers of hosting, storage, databases, content retrieval and transcription infrastructure, task processing, email, security, and monitoring services, and Third-Party AI Providers used when you invoke AI features (such as Google, for video analysis with Gemini, and the providers of the models you select).

A.6.2. Qme will impose on each subprocessor data protection obligations no less protective than those in this Annex and remains liable for its subprocessors’ performance to the extent it is liable for its own acts and omissions under the Agreement. Qme will give you at least ten (10) days’ prior notice of the addition or replacement of a subprocessor, by updating the list in Section A.6.4 or by email. You may object on reasonable grounds relating to data protection within that period; the parties will then discuss in good faith alternative arrangements, failing which you may stop using the affected feature or terminate the Agreement.

‍

A.6.3. Third-Party Services selected or controlled by you, including your AI Clients and the Sources, are not Qme’s subprocessors, and Qme is not responsible for their processing of data.

‍

A.6.4. Current subprocessors. The following subprocessors process Customer Content on our behalf. This list is updated in accordance with Section A.6.2.

Google (Vertex AI) — AI model processing, including video analysis and multi-model comparison — United States / European Union

Microsoft (Azure) — Cloud infrastructure and AI model processing — United States / European Union

DeepInfra (deepinfra.com) — Hosting and running open-source AI models — United States

OpenRouter (openrouter.ai) — Routing of prompts to third-party AI models for multi-model comparison — United States

A.7 International transfers

You authorize Qme and its subprocessors to process and transfer Personal Data to countries outside the European Economic Area, including the United States and other countries in which Qme or its subprocessors operate. Where required, Qme will ensure that a lawful transfer mechanism is in place, such as an adequacy decision (including the EU-U.S. Data Privacy Framework where the recipient is certified), the Standard Contractual Clauses adopted by Commission Implementing Decision (EU) 2021/914 (which, where applicable, are incorporated by reference, using the module appropriate to the parties’ roles, and governed by the law and courts of Romania), together with the UK Addendum where applicable, or another valid mechanism.

‍

A.8 Retention, return, and deletion

You may export or delete Customer Content through the Service at any time. Upon deletion of your Account or termination of the Agreement, and at your written request, Qme will delete or return Personal Data processed on your behalf within a reasonable period, subject to its backup cycles (during which the data will be isolated from further processing) and unless applicable law requires retention. You must retrieve all data you wish to keep before termination. Qme will provide written confirmation of deletion upon your written request.

‍

A.9 Audit and information

Upon your written request, not more than once every twelve (12) months, Qme will provide you with reasonably available information about its Security Measures (such as summaries of security reviews or certifications). If you reasonably demonstrate that this information is insufficient to verify compliance with this Annex or if an audit is required by Data Protection Law or a competent authority, you may conduct an audit, at your own expense, subject to thirty (30) days’ prior written notice, a mutually agreed scope and duration, confidentiality undertakings, minimal disruption to our operations, and exclusion of any data of other customers or confidential information not relevant to the audit.

A.10 Data subject requests and assistance

If Qme receives a request from a data subject concerning Personal Data processed on your behalf, it will, to the extent legally permitted, refer the data subject to you and will not respond itself, except to confirm the referral. Taking into account the nature of the processing, Qme will provide commercially reasonable assistance to enable you to respond to such requests, and to carry out data protection impact assessments and consultations with authorities, where required by Data Protection Law and where you cannot do so without our assistance. Qme may charge reasonable costs for assistance that goes beyond the functionality of the Service.

‍

A.11 Liability and precedence

Except for your indemnification obligations under the Agreement, each party’s liability under these DP Terms is subject to the limitations of liability in Section 14 of the Terms, and references to a party’s liability mean its aggregate liability under the Agreement and these DP Terms together. You will indemnify and hold Qme harmless against third-party claims, fines, and expenses arising from your breach of these DP Terms or of Data Protection Law, or from any processing carried out on your instructions. In case of conflict between these DP Terms and the rest of the Agreement regarding the processing of Personal Data on your behalf, these DP Terms prevail, and where applicable, the Standard Contractual Clauses prevail over both.

‍

A.12 Updates

Qme may update these DP Terms to reflect changes in law, the Service, or its practices. Material changes will be notified as set out in Section 17.3 of the Terms.
